Hyva, a subsidiary of JOST Werke SE, today announced that it has signed a binding agreement to transfer its Tipper Body Business in India to Belrise Industries Limited (“Belrise”). The proposed transaction remains subject to customary regulatory approvals and closing conditions.

Established in 1997, Hyva India introduced Hyva telescopic cylinder technology and tipping solutions to the local market and has since become a respected player in India’s heavy-duty commercial vehicle segment. The India Tipper Body Business is the only Hyva business globally dedicated to the design, manufacture and sale of complete tipper bodies. Following the transaction, Hyva will continue to own, operate, and invest in its Tipping Kits & Hydraulic Systems Business and will continue to serve OEMs, body builders, dealers and customers in India with its wide range of hydraulic and tipping technology portfolio.

Following the acquisition and integration of Hyva in February 2025, JOST continues to refine Hyva’s portfolio to concentrate on tipping cylinders, hydraulic components and digital tipping systems. The divestment lowers JOST’s vertical integration and enhances operational flexibility in India. The manufacturing of tipper bodies is expected to be better positioned under an ownership structure with a dedicated focus on body-building, casting and metal fabrication.

On an annual basis, the Indian tipper body business generates revenue of about €30 to €40 million with a very low EBIT contribution to the group. As the closing of the transaction is expected in the 4th quarter of 2026 it will not have any material impact on the revenue and earnings outlook for JOST for 2026 fiscal year and JOST confirms its outlook for 2026.

Belrise Industries Limited (“Belrise”) is a leading integrated precision engineering company headquartered in Pune, India. Belrise specializes in the manufacturing of safety-critical systems and advanced engineering solutions for two-wheelers, three-wheelers, and four-wheelers, including passenger vehicles, commercial vehicles, and agricultural vehicles. With its recent strategic acquisitions in Europe, Belrise has further expanded its capabilities into the production of structural and engine components for the Aerospace and Defense sectors.

Alex Tan, CEO APAC at JOST said: “This transaction is an important step in aligning our business with JOST’s and Hyva’s long-term strategic priorities. We will focus on further strengthening our position in hydraulic systems, tipping cylinder technologies and digital tipping systems for the commercial vehicle industry.”

Jeffrey Zuidgeest, Managing Director at Hyva India continued: “Hyva has earned the trust of customers across the country through quality products, innovation and dedicated customer support. Hyva’s commitment to the Indian market remains unchanged and we will continue to expand our business with Tipping Kits and Hydraulic Systems to better serve our broad range of customers. With Belrise, we found an excellent owner for Tipper Body Business and we are working closely together to ensure a smooth transition.”

Mr. Shrikant Badve, Managing Director, Belrise Industries Limited added: “We are excited about the opportunity to welcome Hyva’s India Tipper Body Business into the Belrise family. The business has built a strong reputation in the Indian commercial vehicle market. It is an excellent strategic fit for Belrise and complements our manufacturing and engineering strengths. We look forward to investing in its future growth, while ensuring continuity for customers, employees, suppliers and business partners throughout the transition process together with JOST.”
